Nyuza platform merchant terms and conditions

These terms and conditions (Agreement) are entered into between  Rolengi Limited, a legally registered company in Kenya, and you as the user (or as the legal representative of the business you create on our platform). This Agreement governs your use of the Nyuza platform. By using the platform, you agree to the terms listed below.

1. Access to the Platform
  • You acknowledge that access to and use of the Platform is subject to your acceptance of and compliance with this Agreement. 
2. Data Usage and Privacy
  • As part of using the Platform and its Services, you agree that we may collect and use certain data, including but not limited to information about your business, inventory, suppliers, and staff (data).
  • We will use this data to improve the overall functionality and performance of the platform. This includes enhancing features, identifying areas for optimization, and refining user experiences.
  • We assure you that any data collected will be treated with the utmost confidentiality. We will not share your data with any third party unless it has been first anonymized to remove personally identifiable information (PII).
  • Please review our Privacy Policy to understand how we collect, use, and safeguard your Data.
3. Merchant Responsibilities
  • You are responsible for the accuracy and completeness of the data you provide to the Platform. Any inaccurate or incomplete information may affect the effectiveness of the Services.
  • You agree not to use the Platform for any unlawful, fraudulent, or unauthorized purposes.
  • You are solely responsible for maintaining the security of your account credentials and preventing unauthorized access to your account.
4. Intellectual Property
  • The Platform and its associated content, including but not limited to software, graphics, text, and images, are owned by the Company and are protected by intellectual property laws.
  • You may not copy, modify, distribute, reverse engineer, or create derivative works based on the Platform or its content without our prior written consent.
5. Termination
  • This Agreement will remain in effect until terminated by either party.
  • We reserve the right to terminate your access to the Platform if we believe you have violated any terms of this Agreement.
  • Upon termination, your access to the Platform and its Services will be revoked, and you shall cease all use of the Platform.
6. Amendments

We reserve the right to modify, update, or amend this Agreement at any time. Any changes will be effective immediately upon posting on the Platform or notifying you through other means.

7. Governing Law
  • This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kenya. 
  • Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Kenya.
8. General Terms
  • Our failure to exercise or enforce any right under these Terms and Conditions shall not be deemed to be a waiver of any such right nor shall it prevent us from exercising or enforcing the rights in question at any time.
  • You may not transfer any rights or obligations you may have under this Agreement without Our prior written consent.
  • These Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede and replace any and all prior terms. In the event of inconsistency between these Terms and Conditions and previous editions, this version will prevail.

By using the Nyuza Platform, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions.
